1. Introduction
This Cancellation Policy explains the terms, conditions, and procedures governing the cancellation of subscriptions and Services offered through ShopPlus. The purpose of this Policy is to provide Businesses and Authorized Users with a clear understanding of how subscription cancellations are handled, the effects of cancellation on account access, billing, Customer Data, and the responsibilities of both ShopPlus and its Users throughout the cancellation process. ShopPlus is a cloud-based Software-as-a-Service (SaaS) platform designed to assist businesses in managing inventory, sales, purchases, repair services, warranty management, customer relationships, staff management, finance, reporting, and other business operations through a centralized digital platform. Since ShopPlus operates on subscription-based plans with cloud-hosted services, this Cancellation Policy establishes the framework under which Users may discontinue their subscription while ensuring an orderly transition that protects business continuity, system integrity, and operational reliability. This Policy applies to all subscription plans, whether monthly, quarterly, annual, promotional, enterprise, trial, or any other plan introduced by ShopPlus from time to time, unless otherwise agreed in a separate written agreement. By subscribing to or continuing to use ShopPlus, every User acknowledges that they have read, understood, and agreed to be bound by the provisions of this Cancellation Policy together with the applicable Terms and Conditions and other governing policies of the Platform.
This Policy applies to every registered Business, account owner, administrator, and Authorized User accessing ShopPlus through any supported device, application, website, or integrated service. The cancellation of a subscription affects only the availability of Services provided under the applicable subscription plan and does not automatically release the User from any outstanding contractual, legal, financial, or regulatory obligations that may have arisen before the cancellation becomes effective. Depending on the selected subscription plan and the timing of the cancellation request, Users may continue to access certain features until the end of the applicable billing period or may experience immediate restrictions where permitted under the applicable subscription terms. ShopPlus reserves the right to establish reasonable procedures for verifying cancellation requests, confirming account ownership, processing billing adjustments where applicable, protecting Customer Data, and preventing unauthorized or fraudulent account closures. Businesses are encouraged to review their subscription details, export any required reports or business information, and ensure that all Authorized Users are informed of the intended cancellation before submitting a request. Users also acknowledge that cancellation of a ShopPlus subscription does not automatically terminate services provided independently by third-party providers, payment gateways, communication platforms, or other integrated services unless expressly stated by those respective providers.
The provisions contained in this Cancellation Policy are intended to promote transparency, consistency, and fairness in the management of subscription cancellations while protecting the legitimate interests of both ShopPlus and its Users. ShopPlus may periodically review and update this Policy to reflect changes in business practices, subscription models, technology, legal requirements, or operational procedures. Any revised version of this Policy shall become effective from the date specified by ShopPlus and shall apply to future cancellation requests submitted after such effective date, unless otherwise required by applicable law. If any provision of this Policy is determined to be invalid or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law. Nothing contained in this Policy shall limit any rights or obligations established under the applicable Terms and Conditions or any separate written agreement executed between ShopPlus and a Business. By initiating or requesting the cancellation of a subscription, Users acknowledge that they understand the consequences of cancellation described in this Policy and agree to comply with the applicable procedures, responsibilities, and conditions governing the discontinuation of ShopPlus Services.
2. Subscription Cancellation Eligibility
ShopPlus allows eligible Users to cancel their subscription at any time, subject to the provisions set forth in this Cancellation Policy, the applicable subscription plan, and any separate written agreement entered into with ShopPlus. The right to request cancellation is generally limited to the registered Business Owner, the primary Account Administrator, or any individual who has been expressly authorized by the Business to manage subscription-related activities within the Platform. Employees, staff members, consultants, technicians, or other Authorized Users who do not possess the necessary administrative privileges may not independently request, approve, or process the cancellation of a subscription unless such authority has been granted by the Business through the Platform's role and permission management system. Before processing any cancellation request, ShopPlus may require reasonable verification of the identity and authority of the individual submitting the request to protect Businesses from unauthorized, accidental, fraudulent, or malicious account cancellations. Such verification may include account authentication, confirmation through registered communication channels, identity verification, or other security measures considered appropriate by ShopPlus. Users acknowledge that these verification procedures are implemented to safeguard Customer Data, business operations, subscription records, and the overall security of the Platform, and agree to cooperate fully with any reasonable requests made by ShopPlus during the cancellation process.
Eligibility to cancel a subscription does not necessarily exempt the Business from fulfilling its existing contractual, financial, or legal obligations. A Business requesting cancellation must ensure that all outstanding subscription fees, applicable taxes, invoices, payment obligations, and other financial commitments due before the effective cancellation date have been satisfied in accordance with the applicable subscription terms. Where a Business is operating under a promotional plan, enterprise agreement, customized commercial arrangement, reseller contract, volume licensing agreement, or any other special subscription program, additional eligibility requirements or cancellation conditions may apply as specified within the respective agreement. ShopPlus reserves the right to review such agreements before approving a cancellation request to ensure compliance with the agreed commercial terms. Furthermore, Users are encouraged to complete any pending operational activities, export necessary reports, download invoices, back up Customer Data where appropriate, notify Authorized Users, and review any connected third-party services before initiating cancellation. The Business remains solely responsible for managing its internal operational requirements and ensuring that cancellation does not adversely affect its employees, customers, vendors, financial records, repair workflows, inventory management, warranty tracking, or other business activities conducted through the Platform. ShopPlus shall not be responsible for operational disruptions resulting from a cancellation request submitted without adequate internal planning by the Business.
ShopPlus reserves the right to decline, postpone, or temporarily suspend the processing of a cancellation request where there are reasonable grounds to believe that the request has been submitted without proper authorization, is associated with fraudulent activity, is subject to an ongoing legal or regulatory investigation, involves unresolved payment disputes, or may compromise the security or integrity of the Platform. In certain circumstances, ShopPlus may require the resolution of outstanding compliance matters, account verification issues, security concerns, or financial obligations before completing the cancellation process. Eligibility for cancellation also does not guarantee eligibility for refunds, account restoration, continued access to premium features, or retention of Customer Data beyond the periods specified in this Policy or other applicable agreements. Users acknowledge that ShopPlus may establish reasonable administrative procedures from time to time to ensure the secure, lawful, and orderly processing of subscription cancellations while protecting the legitimate interests of all parties involved. By submitting a cancellation request, the Business confirms that it possesses the necessary authority to act on behalf of the registered account, has carefully reviewed the consequences of cancellation, and agrees to comply with all applicable eligibility requirements, verification procedures, financial obligations, and operational responsibilities described in this Cancellation Policy.
3. Cancellation Request Process
To ensure a secure, transparent, and efficient cancellation experience, ShopPlus has established a structured process for submitting and processing subscription cancellation requests. A cancellation request may be initiated only by the registered Business Owner, the primary Account Administrator, or another individual who has been granted appropriate administrative authority to manage subscription-related activities on behalf of the Business. Depending on the available features of the applicable subscription plan, cancellation requests may be submitted through the account settings within the Platform, the subscription management section of the user dashboard, or by contacting the official ShopPlus customer support team through approved communication channels. ShopPlus may periodically update or modify the available cancellation methods to improve operational efficiency, account security, or user experience. Regardless of the method used, every cancellation request must be submitted using the registered account associated with the applicable subscription and may require authentication or identity verification before processing. ShopPlus reserves the right to request additional information, documentation, or confirmation where reasonably necessary to verify the identity of the requesting individual, confirm their authority to act on behalf of the Business, prevent unauthorized account closures, or comply with applicable legal, regulatory, or security requirements. Submission of a cancellation request does not automatically terminate the subscription or immediately discontinue access to the Services, as each request remains subject to verification and processing in accordance with this Cancellation Policy and the applicable subscription terms.
Upon receiving a valid cancellation request, ShopPlus will review the account to verify subscription details, account ownership, payment status, outstanding financial obligations, active subscription period, and any other relevant information necessary to process the request accurately. During this review, ShopPlus may communicate with the Business through the registered email address, mobile number, in-platform notifications, or other authorized communication channels to request clarification, confirm cancellation instructions, or provide additional information regarding the consequences of cancellation. Where the subscription is associated with pending invoices, unresolved payment disputes, active chargeback investigations, customized enterprise agreements, promotional offers, reseller arrangements, or legal compliance requirements, the processing of the cancellation request may be delayed until the relevant matters have been appropriately resolved. Businesses are encouraged to review their account carefully before submitting a cancellation request, including exporting important Customer Data, downloading invoices and financial reports, notifying Authorized Users, completing ongoing repair orders or business transactions, and ensuring that any required operational activities have been concluded. Users acknowledge that ShopPlus is not responsible for any interruption to business operations resulting from a cancellation request submitted before the Business has completed its internal operational or administrative preparations.
Once the verification and review process has been successfully completed, ShopPlus will process the cancellation in accordance with the applicable subscription plan and communicate the effective cancellation status through the Platform or other official communication channels. Depending on the subscription terms, Users may continue to access the Services until the expiration of the current billing cycle, or access may be restricted immediately where such action is permitted under the applicable agreement or required due to security, legal, or operational considerations. ShopPlus may maintain internal records relating to the cancellation request for auditing, compliance, dispute resolution, fraud prevention, and administrative purposes in accordance with its applicable policies and legal obligations. A cancellation request cannot be considered complete until it has been formally processed and acknowledged by ShopPlus, and Users are advised not to assume that submission of a request alone results in immediate termination of the subscription. Businesses remain responsible for monitoring official communications relating to their request and for promptly responding to any additional verification requirements communicated by ShopPlus. By submitting a cancellation request, the Business confirms that it has reviewed the applicable consequences of cancellation, possesses the legal authority to act on behalf of the registered account, and agrees to cooperate with the reasonable administrative, verification, and security procedures established by ShopPlus to ensure the accurate, lawful, and secure processing of subscription cancellations.
4. Effective Date of Cancellation
The effective date of cancellation determines the point at which a ShopPlus subscription ceases to remain active and the corresponding Services, features, and subscription benefits become unavailable. Unless otherwise expressly provided under the applicable subscription plan, enterprise agreement, promotional offer, or separate written arrangement, the submission of a cancellation request does not automatically result in the immediate termination of the subscription. Instead, the cancellation shall become effective in accordance with the applicable billing cycle, subscription period, verification procedures, and processing requirements established by ShopPlus. Depending on the selected subscription plan, a Business may continue to access the subscribed Services until the expiration of the current billing period, after which the subscription will automatically terminate without further renewal. In certain circumstances, including but not limited to security incidents, fraudulent activities, violation of the Terms and Conditions, non-payment of subscription fees, legal obligations, or regulatory requirements, ShopPlus reserves the right to make the cancellation effective immediately or to suspend access before the scheduled cancellation date. The applicable effective date shall be communicated through the Platform, registered email address, or other authorized communication channels after the cancellation request has been successfully reviewed and processed. Users acknowledge that continued access to the Platform before the effective cancellation date remains subject to compliance with all applicable policies, subscription obligations, and operational requirements governing the use of ShopPlus.
Where a subscription remains active until the end of the current billing cycle, the Business may continue to utilize the Services included within its subscription plan until the effective cancellation date without incurring additional renewal charges, provided that automatic renewal has been successfully disabled where applicable. During this period, Users are encouraged to complete ongoing business activities, finalize repair orders, reconcile financial records, export reports, download invoices, retrieve Customer Data, review inventory records, notify Authorized Users, and perform any other administrative tasks necessary to support an orderly transition from the Platform. ShopPlus shall not be responsible for any business interruption, operational delays, loss of productivity, or inconvenience resulting from a User's failure to complete such activities before the effective cancellation date. Businesses remain responsible for monitoring official communications relating to their cancellation request and for ensuring that all operational, financial, contractual, and compliance-related obligations associated with the subscription are fulfilled prior to the discontinuation of Services. If a cancellation request is submitted shortly before a scheduled renewal date, Users acknowledge that sufficient processing time may be required to prevent the renewal from being completed, and ShopPlus shall not be liable for renewal charges incurred where the cancellation request was submitted after the applicable processing deadline or where payment had already been successfully authorized in accordance with the subscription terms.
Once the effective cancellation date has been reached, access to subscription-based features, premium modules, cloud services, integrations, storage allocations, reporting capabilities, and other benefits associated with the cancelled subscription may be restricted, downgraded, or discontinued in accordance with the applicable subscription plan. Certain account information may remain accessible where necessary to comply with legal obligations, facilitate data export, support dispute resolution, or satisfy applicable retention requirements, while other subscription-specific functionality may become unavailable immediately upon cancellation taking effect. The effective cancellation date shall not affect any rights, obligations, liabilities, payment responsibilities, confidentiality commitments, intellectual property protections, or other provisions that, by their nature, are intended to survive cancellation or termination of the subscription. ShopPlus reserves the right to maintain appropriate administrative records relating to the cancellation for auditing, financial reporting, regulatory compliance, fraud prevention, security investigations, and other legitimate business purposes. By submitting a cancellation request, the Business acknowledges that it understands the significance of the effective cancellation date, accepts the timing and consequences associated with the discontinuation of Services, and agrees that the subscription shall terminate in accordance with the procedures, timelines, and conditions described in this Cancellation Policy.
5. Subscription Fees and Refund Policy
ShopPlus provides subscription-based Services through various plans designed to meet the operational requirements of businesses of different sizes. By purchasing, renewing, upgrading, or otherwise subscribing to any ShopPlus plan, the Business agrees to pay all applicable subscription fees, taxes, government charges, and other amounts associated with the selected subscription plan in accordance with the pricing displayed at the time of purchase or as otherwise agreed in writing. Unless expressly stated otherwise, all subscription fees are payable in advance for the applicable billing period and are charged in consideration of immediate access to the Platform, cloud infrastructure, software functionality, technical support, feature availability, maintenance, updates, security services, and other resources provided throughout the subscription term. As a general policy, subscription fees paid to ShopPlus are non-refundable once payment has been successfully processed and access to the subscribed Services has been granted. This policy applies irrespective of the frequency of platform usage, partial utilization of the subscription period, voluntary discontinuation of business operations, changes in business requirements, reduction in user activity, or the decision of a Business to cancel its subscription before the expiration of the applicable billing cycle. Users acknowledge that subscription pricing is determined based upon the availability of the Services for the entire subscription period rather than the actual volume of usage, and therefore unused subscription periods shall not ordinarily qualify for refunds, credits, or partial reimbursements unless expressly required by applicable law or approved by ShopPlus under exceptional circumstances.
Where a Business upgrades its subscription during an active billing period, any applicable additional charges, prorated fees, or revised billing arrangements shall be calculated in accordance with the subscription policies in effect at the time of the upgrade. Similarly, where a Business elects to downgrade its subscription, the revised plan shall generally become effective at the commencement of the next applicable billing cycle unless otherwise specified by ShopPlus. Downgrading a subscription does not entitle the Business to receive a refund, credit, or adjustment for any unused portion of the existing subscription period. Promotional plans, discounted subscriptions, free trials converted into paid subscriptions, enterprise agreements, reseller plans, customized commercial arrangements, and limited-time offers may be subject to separate pricing, billing, renewal, cancellation, and refund conditions communicated at the time of purchase or contained within the applicable commercial agreement. Businesses are responsible for carefully reviewing the pricing, billing cycle, subscription duration, renewal schedule, and cancellation provisions before completing any purchase. ShopPlus shall not be responsible for refund requests arising from a User's misunderstanding of the selected subscription plan, failure to cancel automatic renewal before the applicable renewal date, changes in business strategy, incompatibility with unsupported devices, lack of internet connectivity, failure to utilize available features, or other circumstances unrelated to any material failure by ShopPlus to provide the subscribed Services. Taxes, payment gateway charges, currency conversion fees, banking charges, or other third-party financial processing costs may also be non-refundable where such amounts have already been collected or remitted by the respective financial institutions or governmental authorities.
Notwithstanding the foregoing, ShopPlus may, at its sole discretion or where required by applicable law, review exceptional refund requests arising from duplicate payments, verified billing errors, unauthorized transactions, technical issues that materially prevent access to the subscribed Services despite reasonable efforts to resolve the issue, or other extraordinary circumstances supported by appropriate evidence. The submission of a refund request does not guarantee approval, and each request shall be evaluated individually based upon the relevant facts, payment records, subscription history, technical findings, and applicable contractual obligations. Where a refund is approved, ShopPlus reserves the right to determine the appropriate refund amount, method of payment, processing timeline, and any applicable deductions permitted under law or the relevant subscription agreement. Approved refunds shall ordinarily be credited through the original payment method used for the subscription unless an alternative method is mutually agreed upon or required by the payment service provider. ShopPlus further reserves the right to reject refund requests that are fraudulent, abusive, repetitive, unsupported by sufficient evidence, submitted after unreasonable delay, or otherwise inconsistent with this Cancellation Policy. By purchasing any ShopPlus subscription, Users acknowledge that they have carefully reviewed the applicable pricing and refund provisions, understand the non-refundable nature of subscription fees except in limited circumstances, and agree to be bound by the billing, payment, and refund practices described in this Policy.
6. Auto-Renewal Cancellation
To provide uninterrupted access to the Services, ShopPlus may offer subscription plans that renew automatically at the end of each applicable billing cycle unless automatic renewal has been disabled by the Business before the scheduled renewal date. Auto-renewal is intended to ensure that Businesses continue to benefit from uninterrupted access to premium features, cloud storage, updates, security enhancements, technical support, reporting capabilities, integrations, and other subscription-based functionality without requiring manual renewal for each billing period. By enabling or otherwise agreeing to an automatically renewing subscription, the Business authorizes ShopPlus or its designated payment service providers to process recurring subscription charges using the payment method associated with the account in accordance with the selected billing cycle. Businesses remain responsible for maintaining valid payment information, ensuring that the selected payment method remains active, and reviewing their subscription settings periodically to confirm renewal preferences. If a Business no longer wishes to continue its subscription beyond the current billing period, it is solely responsible for disabling automatic renewal or submitting a cancellation request before the applicable renewal deadline specified for the subscription. Failure to disable automatic renewal before the renewal is processed may result in the subscription being renewed for an additional billing period, and the applicable subscription fees becoming payable in accordance with the selected plan. ShopPlus may provide renewal reminders or notifications as a convenience; however, the absence of such reminders shall not relieve the Business of its responsibility to manage its subscription settings and renewal preferences.
Businesses may disable automatic renewal through the subscription management section of the ShopPlus Platform or by following any other officially supported cancellation procedure communicated by ShopPlus. Once auto-renewal has been successfully disabled, the subscription shall generally remain active until the end of the current paid billing period, after which it will expire automatically unless the Business elects to renew the subscription manually. Disabling automatic renewal prevents future recurring subscription charges but does not cancel the currently active subscription or entitle the Business to any refund, credit, or reimbursement for the remaining portion of the existing billing cycle. During the remaining subscription period, the Business may continue to access the Services and features included within its active subscription plan, subject to continued compliance with the applicable Terms and Conditions and other governing policies of ShopPlus. Businesses are encouraged to verify that automatic renewal has been successfully disabled by reviewing their subscription status within the Platform or any confirmation communication issued by ShopPlus. Where a subscription has already renewed before a cancellation request is received or processed, the renewed billing period shall generally remain subject to the applicable Subscription Fees and Refund Policy unless ShopPlus determines, at its sole discretion or where required by applicable law, that exceptional circumstances justify an alternative resolution.
ShopPlus reserves the right to modify the operation of its automatic renewal system, billing procedures, payment methods, renewal schedules, or subscription management features from time to time in response to technological improvements, legal requirements, payment provider changes, or evolving business practices. Any material changes affecting the operation of automatic renewal may be communicated through the Platform, registered email address, or other authorized communication channels before such changes become effective where reasonably practicable. ShopPlus shall not be responsible for subscription renewals resulting from outdated contact information, ignored renewal notifications, failure to review account settings, insufficient internal authorization procedures within the Business, or the failure of the Business to disable automatic renewal before the applicable renewal deadline. In circumstances where a payment method fails during the renewal process, ShopPlus may make reasonable attempts to collect the outstanding subscription amount using the authorized payment method or temporarily suspend premium Services until payment has been successfully completed. By selecting a subscription plan that includes automatic renewal, the Business acknowledges that it understands the recurring billing mechanism, accepts responsibility for managing renewal preferences in a timely manner, and agrees that future subscription renewals shall be processed in accordance with the provisions of this Cancellation Policy and the applicable subscription agreement governing the use of ShopPlus.
7. Account Access After Cancellation
Upon the effective cancellation of a ShopPlus subscription, the level of access available to the Business and its Authorized Users shall be determined in accordance with the applicable subscription plan, the effective cancellation date, and the operational policies of ShopPlus. Until the cancellation becomes effective, the Business may continue to access and use the Services included within its active subscription, provided that all applicable Terms and Conditions, payment obligations, and Platform policies continue to be observed. Once the cancellation takes effect, access to premium modules, subscription-based functionality, cloud services, advanced reports, integrations, enhanced storage, multi-user capabilities, and other paid features associated with the cancelled subscription may be suspended, restricted, downgraded, or permanently discontinued. Where ShopPlus offers a free plan or limited-access account, the Business may continue to access certain basic features subject to the limitations applicable to such plan. If no free plan is available, access to the Platform may be restricted entirely after the subscription expires. ShopPlus reserves the right to modify the availability of free or limited-access features at any time in accordance with its business requirements, provided that such changes are implemented in accordance with applicable policies and legal obligations. Businesses acknowledge that cancellation of a subscription does not automatically entitle them to continued access to premium Services beyond the expiration of the applicable billing period.
Following cancellation, certain account functions may continue to remain available for a limited period where necessary to facilitate account administration, Customer Data export, invoice retrieval, payment reconciliation, legal compliance, or other legitimate operational purposes determined by ShopPlus. Depending upon the subscription plan and system configuration, Users may be permitted temporary read-only access to selected business records, reports, invoices, or account information without the ability to create, modify, delete, synchronize, or process new transactions. During this period, Businesses are encouraged to complete any remaining administrative activities, export required reports, download financial records, retrieve inventory information, collect repair histories, warranty records, customer details, employee information, and any other business data required for their ongoing operations. ShopPlus shall not be responsible for any inability to retrieve information after the expiration of any applicable post-cancellation access period. Businesses remain solely responsible for ensuring that all necessary operational records have been exported or preserved before the account becomes fully inaccessible. Access restrictions following cancellation may also apply to mobile applications, web dashboards, APIs, third-party integrations, automated notifications, cloud synchronization, and any other subscription-dependent functionality that requires an active ShopPlus subscription to operate.
Cancellation of a subscription shall not affect the validity or enforceability of any obligations that, by their nature, are intended to survive the termination of Services, including obligations relating to outstanding payments, intellectual property rights, confidentiality, limitation of liability, indemnification, dispute resolution, legal compliance, and data retention. ShopPlus reserves the right to permanently disable account access where continued availability would create security risks, violate applicable laws, interfere with ongoing investigations, or otherwise compromise the integrity of the Platform. Where a Business subsequently decides to resume using ShopPlus, access to previously cancelled accounts, Customer Data, or historical records shall be subject to the reactivation policies, applicable retention periods, technical availability of archived data, and any additional requirements established by ShopPlus at the time of reactivation. ShopPlus makes no guarantee that previously cancelled accounts or archived information will remain available indefinitely after cancellation. By requesting cancellation of a subscription, the Business acknowledges and accepts that access to the Platform, its features, and associated Services will be governed by the provisions described in this Policy and agrees to complete all necessary business activities before the cancellation becomes fully effective.
8. Customer Data After Cancellation
The cancellation of a ShopPlus subscription does not automatically result in the immediate deletion of Customer Data stored within the Platform. ShopPlus recognizes that Businesses rely on their operational records for accounting, inventory management, customer service, warranty claims, repair history, financial reporting, employee administration, and regulatory compliance. Accordingly, following the effective cancellation of a subscription, Customer Data may remain securely stored for a limited retention period as determined by the applicable subscription plan, operational policies, legal obligations, system requirements, or any separate written agreement between ShopPlus and the Business. During any applicable post-cancellation retention period, the Business may, where permitted by the Platform and the applicable subscription terms, access, export, or retrieve certain business information before permanent deletion or anonymization is carried out. Customer Data may include, without limitation, customer profiles, vendor information, inventory records, purchase and sales transactions, repair orders, warranty registrations, invoices, payment history, attendance records, payroll information, financial reports, uploaded documents, images, communications, and other operational information stored through ShopPlus. Businesses acknowledge that they remain solely responsible for determining which information should be exported or retained for their own legal, accounting, taxation, operational, or regulatory purposes before the applicable retention period expires. ShopPlus shall not be responsible for any loss resulting from a Business's failure to retrieve or preserve its information within the applicable timeframe communicated by the Platform.
Businesses are strongly encouraged to download or export all necessary Customer Data, reports, invoices, financial statements, inventory records, employee information, repair history, warranty documentation, customer ledgers, vendor records, and other business documents before the effective cancellation date or within any post-cancellation access period made available by ShopPlus. Depending on the subscription plan, Users may be provided with data export tools, downloadable reports, or read-only access for a limited duration to facilitate an orderly transition to another system or for maintaining internal business records. ShopPlus reserves the right to define reasonable limitations on the format, method, frequency, and duration of data export services to ensure system security, operational efficiency, and compliance with applicable legal requirements. Where Customer Data is stored as part of automated system backups, disaster recovery archives, audit logs, or security monitoring records, such information may continue to exist for limited operational or legal purposes until the applicable backup retention cycle has been completed, even though it is no longer available through the active User account. During this period, archived information shall remain subject to the same security and confidentiality measures implemented by ShopPlus for active Customer Data. Businesses acknowledge that certain information may also be retained where necessary to comply with applicable laws, resolve disputes, prevent fraud, enforce legal rights, satisfy financial reporting obligations, or respond to lawful requests from competent authorities.
Following the expiration of the applicable retention period, and unless a longer retention period is required by law or an active legal obligation exists, ShopPlus may permanently delete, anonymize, or otherwise securely dispose of Customer Data using commercially reasonable technical and administrative procedures designed to prevent unauthorized access or recovery. Once Customer Data has been permanently deleted or anonymized, ShopPlus shall have no obligation to restore, recover, recreate, or reproduce such information for the Business. Users acknowledge that permanent deletion may affect all associated records, reports, uploaded documents, operational history, analytics, invoices, communications, and other information maintained within the Platform, and such deletion may be irreversible. ShopPlus shall not be liable for any direct or indirect losses arising from the permanent deletion of Customer Data after the expiration of the applicable retention period, provided that such deletion has been carried out in accordance with this Cancellation Policy and applicable legal requirements. By cancelling a ShopPlus subscription, the Business confirms that it understands its responsibility to retrieve and preserve any required Customer Data before the applicable retention period expires and accepts that ShopPlus may securely remove such information once the retention obligations have been fulfilled in accordance with its operational practices and legal responsibilities.
9. Pending Payments and Outstanding Dues
The cancellation of a ShopPlus subscription does not relieve a Business of its obligation to pay any subscription fees, invoices, taxes, charges, penalties, or other financial obligations that became due before the effective date of cancellation. All outstanding amounts incurred for the use of the Platform, including subscription charges, plan upgrades, additional user licenses, storage fees, implementation services, training services, customization work, premium support, or any other chargeable Services provided by ShopPlus, shall remain payable in accordance with the applicable subscription agreement and payment terms. Businesses acknowledge that cancellation affects only the future provision of Services and does not invalidate or extinguish payment obligations that have already arisen. If any invoice remains unpaid at the time a cancellation request is submitted, ShopPlus reserves the right to continue collection activities until the outstanding balance has been fully settled. Any applicable taxes, statutory levies, payment gateway charges, bank processing fees, or government-imposed charges associated with the unpaid invoices shall also remain the responsibility of the Business. ShopPlus may, where permitted by applicable law, apply interest, late payment charges, administrative fees, or other contractual remedies in accordance with the subscription agreement for amounts that remain unpaid beyond the applicable due date. Businesses are encouraged to review their account statements, reconcile pending invoices, and ensure that all financial obligations are fulfilled before requesting cancellation to facilitate a smooth and timely account closure process.
Where subscription payments are processed through recurring billing arrangements, payment gateways, banking institutions, credit cards, debit cards, UPI, net banking, digital wallets, or other authorized payment methods, the Business remains responsible for ensuring that sufficient funds and valid payment credentials are maintained until all outstanding charges have been successfully collected. If a scheduled payment fails due to insufficient funds, expired payment methods, banking restrictions, chargebacks, payment reversals, or any other reason attributable to the Business or its financial institution, ShopPlus may make reasonable attempts to recover the outstanding amount using the authorized payment method before or after the effective cancellation date. ShopPlus further reserves the right to temporarily suspend Services, restrict access to premium features, delay the completion of a cancellation request, or withhold certain administrative services where outstanding financial obligations remain unresolved. In cases involving disputed payments, fraudulent transactions, unauthorized chargebacks, or payment investigations initiated by financial institutions, ShopPlus may postpone the final processing of the cancellation request until the matter has been appropriately investigated and resolved. Businesses acknowledge that initiating a chargeback or payment dispute without first contacting ShopPlus to resolve the issue may result in temporary account restrictions, suspension of Services, recovery proceedings, or additional administrative review. ShopPlus encourages Users to promptly communicate any billing concerns through its official customer support channels so that genuine payment issues may be resolved efficiently and in good faith.
Following the effective cancellation of a subscription, ShopPlus reserves the right to retain records relating to outstanding invoices, payment history, financial transactions, tax documents, and related accounting information for auditing, regulatory compliance, dispute resolution, fraud prevention, debt recovery, and other legitimate business purposes as required under applicable law. Where permitted by law, ShopPlus may engage authorized recovery agencies, legal representatives, or other professional service providers to recover unpaid subscription fees or other outstanding financial obligations arising from the use of the Platform. Nothing contained in this Cancellation Policy shall prevent ShopPlus from exercising any contractual, statutory, or equitable rights available for the recovery of unpaid amounts, including the commencement of legal proceedings where appropriate. The existence of pending payments or outstanding dues may also affect a Business's eligibility to reactivate a previously cancelled account, subscribe to new Services, or access historical Customer Data where such access is subject to settlement of outstanding obligations. By requesting cancellation of a ShopPlus subscription, the Business acknowledges that all financial liabilities incurred prior to the effective cancellation date remain fully enforceable and agrees to satisfy all outstanding payments in accordance with the applicable subscription agreement, billing terms, and governing laws. This section shall survive the cancellation, expiration, or termination of the subscription for so long as any outstanding payment obligations remain unresolved.
10. ShopPlus Initiated Cancellation
While ShopPlus strives to maintain long-term relationships with its customers and provide uninterrupted access to its Services, ShopPlus reserves the right to suspend, restrict, or cancel any subscription or account where such action is reasonably necessary to protect the security, integrity, legal compliance, operational stability, or commercial interests of the Platform and its Users. ShopPlus may initiate the cancellation of a subscription without liability where it reasonably determines that a Business or any of its Authorized Users has violated the applicable Terms and Conditions, Privacy Policy, this Cancellation Policy, or any other governing agreement applicable to the use of the Platform. Circumstances that may result in ShopPlus-initiated cancellation include, but are not limited to, fraudulent activities, submission of false or misleading registration information, repeated payment failures, unauthorized account access, misuse of subscription benefits, abuse of customer support services, infringement of intellectual property rights, unlawful business practices, use of the Platform for illegal or prohibited purposes, introduction of malicious software, attempts to compromise system security, reverse engineering of the software, excessive misuse of system resources, or any activity that threatens the performance, reputation, or security of ShopPlus or its users. ShopPlus may also initiate cancellation where required by applicable laws, judicial orders, regulatory authorities, governmental agencies, sanctions, or other legally binding directives. Depending upon the nature and severity of the violation, ShopPlus may provide prior notice and an opportunity to remedy the issue where reasonably practicable; however, where immediate action is necessary to prevent security risks, financial loss, legal exposure, or harm to other users, ShopPlus reserves the right to suspend or terminate access without prior notice.
Where ShopPlus initiates cancellation due to non-payment of subscription fees or repeated failure to maintain valid payment methods, reasonable efforts may be made to notify the Business and provide an opportunity to resolve the outstanding payment before permanent cancellation is completed. Similarly, where violations are minor and capable of correction, ShopPlus may issue warnings, temporarily suspend selected features, restrict account functionality, or require corrective action before deciding to permanently terminate the subscription. However, repeated violations, deliberate misconduct, fraudulent behavior, security breaches, or illegal activities may result in immediate and permanent cancellation without any obligation to provide additional warnings or opportunities for remediation. Upon ShopPlus-initiated cancellation, access to premium Services, subscription-based features, cloud storage, reports, APIs, integrations, user management tools, and other functionalities may be suspended immediately or on a date determined by ShopPlus depending upon the circumstances of the case. Businesses remain responsible for all financial obligations, contractual commitments, taxes, invoices, and other liabilities that accrued prior to the effective date of cancellation. Unless otherwise required by applicable law or expressly approved by ShopPlus, subscriptions cancelled by ShopPlus due to violations of applicable agreements shall not be eligible for refunds, credits, or reimbursement of any unused portion of the subscription period. ShopPlus further reserves the right to preserve relevant account information, activity logs, payment records, communications, Customer Data, and other evidence where necessary to investigate suspected violations, respond to legal requests, protect its rights, or comply with applicable regulatory obligations.
Following a ShopPlus-initiated cancellation, the affected Business may lose access to the Platform, Customer Data, premium functionality, and associated Services in accordance with the applicable retention policies and legal requirements. ShopPlus reserves the right to refuse future registration requests, reject attempts to create replacement accounts, deny subscription renewals, or restrict access to additional Services where there is reasonable evidence that the Business or its Authorized Users have previously engaged in conduct that violates applicable agreements or compromises the integrity of the Platform. Where the cancellation results from an error, misunderstanding, mistaken identity, technical issue, or other exceptional circumstance, the Business may contact ShopPlus through its official support channels to request a review of the decision. ShopPlus may, at its sole discretion, investigate the matter and determine whether reinstatement of the account or restoration of Services is appropriate based upon the available evidence and applicable policies. Nothing contained in this section shall limit the right of ShopPlus to pursue any additional legal, contractual, or equitable remedies available under applicable law in connection with fraudulent activities, intellectual property infringement, unpaid financial obligations, security incidents, or other violations affecting the Platform. By using ShopPlus, every Business acknowledges that ShopPlus-initiated cancellation is an essential safeguard for maintaining a secure, reliable, lawful, and trustworthy environment for all users of the Platform and agrees to comply with the standards of conduct established under the governing agreements.
11. Third-Party Services and Integrations
ShopPlus may integrate with or rely upon various third-party service providers to deliver, enhance, and support the functionality of its cloud-based Platform. These third-party services may include, without limitation, payment gateways, cloud hosting providers, communication services, email delivery platforms, SMS providers, WhatsApp messaging services, authentication providers, mapping services, accounting integrations, notification services, analytics tools, document storage providers, backup systems, and other software or infrastructure partners that assist in providing the Services to Businesses. When a Business cancels its ShopPlus subscription, such cancellation applies solely to the Services provided directly by ShopPlus and does not automatically cancel, suspend, or terminate any independent agreement, subscription, account, license, or commercial relationship that the Business may have established separately with any third-party service provider. Businesses remain solely responsible for reviewing the contractual terms, billing arrangements, cancellation procedures, and refund policies applicable to each third-party provider connected to their ShopPlus account. ShopPlus does not control the independent pricing, contractual obligations, service availability, data processing practices, or cancellation policies of such third-party providers and shall not be responsible for any charges, renewals, disputes, or liabilities arising under separate agreements between the Business and those providers. Users acknowledge that certain third-party integrations may cease functioning automatically after the ShopPlus subscription expires due to the discontinuation of platform access, API connectivity, authentication services, or synchronization capabilities.
Upon the effective cancellation of a ShopPlus subscription, access to third-party integrations that depend upon an active ShopPlus account may be suspended, restricted, or permanently disabled. This may include, without limitation, payment gateway connectivity, cloud synchronization, SMS notifications, WhatsApp messaging, automated email delivery, accounting software synchronization, barcode services, inventory integrations, API-based data exchange, or any other connected functionality requiring an active subscription. Businesses are encouraged to review all active integrations before submitting a cancellation request and to disconnect, migrate, or reconfigure any external systems where necessary to ensure business continuity. Where Customer Data has previously been shared with authorized third-party service providers for the purpose of delivering the requested Services, such providers may continue to retain or process information in accordance with their own privacy policies, contractual obligations, applicable legal requirements, and data retention practices. ShopPlus shall take commercially reasonable measures to discontinue the transmission of Customer Data to integrated services after cancellation where such transmission is no longer required for the operation of the Platform. However, ShopPlus cannot guarantee the immediate deletion or termination of data already processed, stored, or retained by independent third-party providers acting under their own legal obligations. Businesses remain responsible for contacting such providers directly where they wish to terminate independent services, request deletion of information, modify subscription settings, or exercise any rights available under the applicable third-party agreements.
ShopPlus shall not be liable for any interruption of services, operational delays, loss of functionality, failed data synchronization, communication failures, additional subscription charges, or other consequences resulting from the cancellation, suspension, modification, or continued operation of independent third-party services connected to the Platform. If a Business continues to maintain active subscriptions with external providers after cancelling its ShopPlus account, ShopPlus shall have no responsibility for managing, monitoring, renewing, cancelling, or supporting those separate services. Likewise, where a third-party provider independently suspends, modifies, or discontinues its services before or after the cancellation of a ShopPlus subscription, ShopPlus shall not be responsible for any resulting disruption to the Business's operations. Businesses are encouraged to maintain appropriate records of all external integrations, review their respective contractual obligations, and complete any necessary migration or transition activities before the effective cancellation date. By requesting cancellation of a ShopPlus subscription, the Business acknowledges that third-party integrations operate under separate contractual relationships, understands that cancellation of ShopPlus does not automatically terminate those independent services, and agrees to assume full responsibility for managing any ongoing relationships, subscriptions, data handling obligations, and financial commitments associated with third-party providers connected to the Platform.
12. Reactivation of Subscription
A Business that has previously cancelled its ShopPlus subscription may be eligible to reactivate its account and resume the use of the Services, subject to the applicable subscription plans, data retention policies, technical feasibility, and the operational requirements of ShopPlus. Reactivation is intended to provide Businesses with the opportunity to continue using the Platform after a voluntary cancellation, provided that the account remains eligible for restoration and has not been permanently deleted, suspended due to policy violations, or otherwise rendered inactive in accordance with applicable legal or operational requirements. Reactivation may be requested by the registered Business Owner or an Authorized Account Administrator through the official ShopPlus Platform or by contacting the designated customer support channels. Before approving a reactivation request, ShopPlus may require verification of the account holder's identity, confirmation of ownership, validation of administrative authority, settlement of outstanding dues, and acceptance of the then-current Terms and Conditions, Privacy Policy, Cancellation Policy, pricing structure, and any other applicable agreements. ShopPlus reserves the right to determine whether an account qualifies for reactivation based on factors including the duration since cancellation, the availability of archived Customer Data, previous account history, compliance with applicable policies, and any outstanding legal, financial, or security concerns. Submission of a reactivation request does not guarantee restoration of the account or previously available Services, and each request shall be evaluated in accordance with the policies in effect at the time the request is received.
Where a reactivation request is approved, the Business may be required to subscribe to an active ShopPlus plan and complete the applicable payment process before access to the Platform is restored. The reactivated account shall generally become subject to the subscription plans, pricing, features, service limitations, and commercial terms that are currently offered by ShopPlus at the time of reactivation, regardless of the subscription plan that existed before cancellation. ShopPlus does not guarantee that historical subscription pricing, promotional offers, legacy features, customized commercial arrangements, or discontinued functionality will remain available following reactivation. If Customer Data has been retained within the applicable retention period and remains technically recoverable, ShopPlus may, where reasonably practicable, restore the available business information associated with the account. However, restoration of archived data depends upon system availability, backup retention schedules, legal obligations, technical limitations, and the integrity of stored information. ShopPlus makes no representation or warranty that all historical records, reports, invoices, customer information, inventory records, repair history, warranty details, financial data, user settings, integrations, or other account information will remain available after cancellation or be capable of complete restoration. Businesses are therefore encouraged to maintain independent backups of important operational records before cancelling a subscription. Where Customer Data has already been permanently deleted or anonymized in accordance with the applicable retention policies, ShopPlus shall have no obligation to recreate, recover, or restore such information.
ShopPlus reserves the right to deny or refuse reactivation requests where the account was previously terminated due to fraud, repeated violations of the Terms and Conditions, unlawful activities, abuse of the Platform, security incidents, unpaid financial obligations, regulatory restrictions, or any conduct that may compromise the integrity, security, or lawful operation of the Services. Reactivation may also be denied where the account has exceeded the applicable data retention period, where archived information has been permanently deleted, or where restoration is no longer technically feasible. Businesses seeking to resume the use of ShopPlus after such circumstances may be required to create a new account and subscribe under the then-current commercial terms without restoration of historical data. ShopPlus may periodically modify its account restoration procedures, eligibility requirements, retention periods, technical processes, and reactivation policies to reflect changes in technology, legal requirements, operational practices, or business objectives. By requesting the reactivation of a previously cancelled subscription, the Business acknowledges that reactivation remains subject to the sole discretion of ShopPlus, accepts the possibility that certain historical data or features may no longer be available, and agrees to comply with all applicable policies, subscription requirements, verification procedures, and payment obligations governing the restoration and continued use of the ShopPlus Platform.
13. Exceptions and Special Circumstances
While the provisions of this Cancellation Policy are intended to apply consistently to all ShopPlus subscriptions, certain exceptional situations may require ShopPlus to exercise reasonable discretion in order to ensure fairness, legal compliance, and the continued integrity of the Platform. Exceptional circumstances may include, without limitation, verified technical failures that prevent access to subscribed Services, duplicate or accidental payments, payment gateway processing errors, unauthorized transactions, regulatory requirements, force majeure events, natural disasters, widespread internet or cloud infrastructure failures, government-imposed restrictions, court orders, banking system disruptions, or any other extraordinary event beyond the reasonable control of either Party. In such situations, ShopPlus reserves the right to review the relevant facts on a case-by-case basis and determine whether an exception to the standard cancellation procedures, billing practices, refund provisions, or account management processes is appropriate. The existence of an exceptional circumstance shall not automatically entitle a Business to receive a refund, account restoration, compensation, or any other special benefit. Each request shall be independently evaluated based upon the available evidence, applicable subscription terms, payment records, technical findings, legal obligations, and any other information reasonably required to reach an informed decision. Businesses requesting consideration under this section may be required to provide supporting documentation, transaction details, communication records, or other evidence necessary for ShopPlus to investigate the matter appropriately. ShopPlus reserves the right to reject requests that are incomplete, unsupported, fraudulent, misleading, or otherwise inconsistent with this Policy.
Where a cancellation request involves enterprise customers, customized commercial agreements, reseller partnerships, implementation contracts, negotiated pricing arrangements, or other individually negotiated business relationships, the specific contractual provisions contained within the applicable agreement shall prevail to the extent of any inconsistency with this Cancellation Policy. Likewise, if applicable laws or regulatory requirements impose obligations relating to consumer rights, statutory refunds, mandatory cancellation periods, financial reporting, taxation, or data retention that differ from the general provisions of this Policy, ShopPlus shall comply with such legal requirements to the extent required by law. In situations involving duplicate subscription payments, payment gateway errors, system-generated billing anomalies, or confirmed unauthorized transactions, ShopPlus may investigate the matter in cooperation with the relevant financial institutions or payment service providers before determining the appropriate corrective action. Where an error attributable to ShopPlus has resulted in an incorrect charge, duplicate billing, or material failure to provide the subscribed Services, ShopPlus may, at its sole discretion or where required by applicable law, issue a refund, account credit, subscription extension, billing adjustment, or other appropriate remedy. However, ShopPlus shall not be responsible for delays, additional banking charges, currency conversion losses, payment gateway processing fees, or other financial consequences arising from the policies or operational practices of independent financial institutions or third-party payment providers involved in the transaction.
ShopPlus also reserves the right to make reasonable exceptions where necessary to protect the security, stability, or lawful operation of the Platform or to respond to unforeseen operational circumstances that cannot reasonably be addressed under the standard provisions of this Cancellation Policy. Such exceptions may include temporary suspension of cancellation requests during security investigations, postponement of account deletion where litigation or regulatory proceedings are pending, preservation of Customer Data to comply with legal obligations, or temporary continuation of limited account access to facilitate data migration, dispute resolution, or business continuity. The exercise of discretion by ShopPlus in one particular case shall not establish a precedent or create any obligation to grant similar exceptions in future cases involving different facts or circumstances. ShopPlus may periodically revise the procedures applicable to exceptional situations in response to changes in technology, payment systems, legal requirements, regulatory guidance, or operational practices. By using ShopPlus and submitting a cancellation request, the Business acknowledges that exceptional circumstances require flexible administrative decision-making, agrees that ShopPlus may evaluate such matters individually based upon the relevant facts and applicable legal obligations, and accepts that any exception granted under this section shall be determined solely in accordance with the principles of fairness, operational necessity, contractual obligations, and applicable law.
14. Changes to the Cancellation Policy
ShopPlus reserves the right to amend, modify, update, replace, or revise this Cancellation Policy at any time to reflect changes in applicable laws, regulatory requirements, industry standards, business operations, subscription models, payment practices, technological advancements, security measures, or the overall functionality of the Platform. As a cloud-based Software-as-a-Service (SaaS) solution, ShopPlus continuously evolves to improve its Services, introduce new features, strengthen platform security, enhance user experience, and maintain compliance with changing legal and commercial requirements. Accordingly, it may become necessary to update this Cancellation Policy to ensure that it accurately reflects the current operational practices governing subscription cancellations, refunds, account closures, data retention, billing procedures, and related administrative processes. Any amendments made to this Policy shall become effective on the date specified by ShopPlus unless a different implementation timeline is required under applicable law. Updated versions of this Policy may be published on the official ShopPlus website, displayed within the Platform, communicated through registered email addresses, announced through in-application notifications, or provided using any other reasonable communication method deemed appropriate by ShopPlus. Businesses are encouraged to review this Cancellation Policy periodically to remain informed of any revisions that may affect their rights, responsibilities, or subscription management procedures. Continued use of the Platform after the effective date of an updated Cancellation Policy shall constitute acceptance of the revised provisions unless applicable law requires additional consent or notification procedures.
Where a proposed amendment materially affects the rights or obligations of Businesses, ShopPlus will make commercially reasonable efforts to provide advance notice before the revised Policy becomes effective. Such notice may include information regarding significant changes to subscription cancellation procedures, refund eligibility, billing practices, auto-renewal management, Customer Data retention, account reactivation, or any other material aspect of this Policy. However, ShopPlus reserves the right to implement immediate amendments without prior notice where such changes are necessary to comply with applicable legal requirements, respond to security threats, prevent fraudulent activities, protect the integrity of the Platform, implement urgent technical improvements, or satisfy directions issued by competent governmental or regulatory authorities. Users acknowledge that laws governing electronic commerce, consumer protection, taxation, privacy, payment processing, cybersecurity, and cloud-based software services may evolve over time, and ShopPlus must retain sufficient flexibility to update its policies accordingly. If a Business does not agree with any revision made to this Cancellation Policy, its sole remedy shall be to discontinue the use of the Services and cancel its subscription in accordance with the applicable cancellation procedures before the revised Policy becomes effective. Continued access to or use of ShopPlus following the implementation of revised terms shall be deemed conclusive evidence that the Business has accepted the updated Cancellation Policy and agrees to remain bound by its provisions.
If any provision of this Cancellation Policy is determined by a court of competent jurisdiction or another authorized authority to be invalid, unlawful, or unenforceable, such determination shall affect only the specific provision to the minimum extent necessary, while the remaining provisions shall continue in full force and effect. ShopPlus's decision to delay or refrain from exercising any right available under this Cancellation Policy shall not constitute a waiver of that right or prevent its future enforcement. Likewise, any exception granted under this Policy in a particular situation shall not establish a continuing obligation or precedent requiring ShopPlus to grant similar exceptions in future circumstances. ShopPlus may also revise related operational procedures, documentation requirements, account verification methods, customer support processes, payment workflows, or technical implementation mechanisms where such revisions are necessary to support the effective administration of this Cancellation Policy. By maintaining an active ShopPlus account, renewing a subscription, or continuing to use the Platform after updated terms become effective, every Business acknowledges its responsibility to remain informed of the latest version of this Cancellation Policy and agrees to comply with all amendments, revisions, and operational requirements published by ShopPlus from time to time.
15. General Provisions
This Cancellation Policy constitutes an integral part of the legal framework governing the use of ShopPlus and shall be read together with the applicable Terms and Conditions, Privacy Policy, subscription agreements, pricing policies, and any other legally binding documents published or expressly incorporated by reference by ShopPlus. In the event of any inconsistency between this Cancellation Policy and a separately negotiated written agreement executed between ShopPlus and a Business, the provisions of the written agreement shall prevail solely to the extent of such inconsistency. Nothing contained in this Policy shall be interpreted as creating any partnership, joint venture, agency, employment relationship, fiduciary duty, or other legal relationship between ShopPlus and its Users beyond that of an independent service provider and customer. Businesses remain solely responsible for managing their internal operations, customer relationships, financial records, employee administration, inventory management, taxation, legal compliance, and all other business activities conducted using the Platform. The cancellation of a subscription shall not affect any obligations, rights, liabilities, or remedies that accrued before the effective cancellation date, including but not limited to outstanding payment obligations, intellectual property protections, confidentiality commitments, indemnification responsibilities, limitation of liability provisions, dispute resolution mechanisms, and data retention requirements, all of which shall continue to survive where their nature requires continued enforcement. Users acknowledge that ShopPlus provides a technology platform for business management and that the decision to cancel a subscription remains the responsibility of the Business after carefully considering the operational, financial, and administrative consequences associated with such cancellation.
If any provision of this Cancellation Policy is determined by a court of competent jurisdiction or any other legally authorized authority to be unlawful, invalid, void, or unenforceable, such determination shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect to the maximum extent permitted by applicable law. Any invalid provision shall, where possible, be interpreted or modified in a manner that most closely reflects the original commercial intent while remaining legally enforceable. The failure or delay of ShopPlus to exercise any right, remedy, or provision available under this Cancellation Policy shall not constitute a waiver of that right or prevent its future enforcement. Likewise, any waiver granted in relation to a specific breach, event, or circumstance shall not be interpreted as a continuing waiver of any subsequent breach or similar occurrence. Businesses may not assign, transfer, sublicense, delegate, or otherwise dispose of any rights or obligations arising under this Cancellation Policy without obtaining the prior written consent of ShopPlus. ShopPlus may assign or transfer its rights and obligations under this Policy as part of a merger, acquisition, corporate restructuring, sale of assets, business reorganization, or other lawful commercial transaction without requiring additional consent from its Users. Headings used throughout this Policy are provided solely for convenience and reference purposes and shall not influence the interpretation or legal effect of any provision contained herein.
By subscribing to, accessing, renewing, or cancelling the Services offered through ShopPlus, every Business confirms that it has carefully read, understood, and accepted this Cancellation Policy in its entirety. Users further acknowledge that they have been provided with sufficient opportunity to review the provisions governing subscription cancellation, refunds, account access, Customer Data retention, payment obligations, account reactivation, and all other matters addressed within this Policy before making any purchasing or cancellation decision. ShopPlus reserves the right to enforce this Cancellation Policy together with its other governing agreements to protect the lawful operation, security, commercial interests, and integrity of the Platform. Any disputes arising in connection with this Cancellation Policy shall be governed by the dispute resolution procedures, governing law, and jurisdiction provisions contained within the applicable Terms and Conditions or any separate written agreement between ShopPlus and the Business. This Cancellation Policy represents the complete understanding between ShopPlus and its Users concerning the cancellation of subscriptions and supersedes all previous discussions, representations, communications, or understandings relating to the same subject matter unless expressly stated otherwise in a separate written agreement. By continuing to use the Platform or by submitting a cancellation request, every User expressly agrees to comply with the procedures, responsibilities, limitations, and legal obligations described in this Cancellation Policy and acknowledges that these provisions are fair, reasonable, and necessary for the efficient administration of ShopPlus and the protection of all Businesses using the Platform.
