Definitions and Interpretation

For the purposes of these Terms and Conditions, certain words and expressions shall have specific meanings, whether used in singular or plural form, and such meanings shall apply consistently throughout this document unless the context expressly requires otherwise. The term “Platform” refers to the software-as-a-service application, including its web interface, mobile interface, backend systems, and all associated features, functionalities, updates, and services provided therein. The term “User” refers to any individual or entity that accesses, registers, or uses the Platform, including but not limited to shop owners, their employees, agents, or any authorized representatives acting on their behalf. The term “Services” encompasses all tools, functionalities, and capabilities provided by the Platform, including but not limited to transaction processing, inventory management, reporting, communication integrations, document storage, and analytics features. “Subscription Plan” refers to the pricing structure under which Users are granted access to specific features, usage quotas, and service levels based on their selected plan.

In interpreting these Terms, headings and section titles are included solely for convenience and shall not affect the meaning or interpretation of any provision. References to any statute or law shall include any amendments, modifications, or re-enactments thereof for the time being in force. Words importing the masculine gender shall include feminine and neutral genders, and words indicating persons shall include individuals, partnerships, corporations, and other legal entities. Any reference to “including” shall be construed as “including without limitation,” unless otherwise expressly stated. In the event of any ambiguity or inconsistency in interpretation, the provisions shall be interpreted in a manner that best reflects the intent of maintaining lawful, fair, and secure use of the Platform.

By accessing, registering for, or using the Platform in any manner, the User expressly acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions, as well as any additional policies referenced herein. Continued use of the Platform shall constitute ongoing acceptance of these Terms, including any modifications or updates that may be made from time to time. If the User does not agree with any part of these Terms, they must immediately discontinue use of the Platform. These Terms constitute a legally binding agreement between the User and the Platform governing all access to and use of the Services.

User Eligibility

The Platform is intended to be used only by individuals and entities that are legally competent to enter into binding agreements under the applicable laws of India. By accessing, registering, or using the Platform, the User represents and warrants that they are at least eighteen years of age and possess the legal capacity to form a valid contract. In cases where the Platform is accessed or used on behalf of a business, organization, or other legal entity, the individual registering or operating the account further represents and warrants that they are duly authorized to act on behalf of such entity and to bind it to these Terms and Conditions. The Platform shall not be held responsible for verifying the authenticity of such authority, and any misrepresentation in this regard shall be the sole responsibility of the User. The use of the Platform by individuals who are prohibited from entering into contracts under applicable law is strictly forbidden and may result in immediate suspension or termination of access without prior notice.

Users are required to ensure that their use of the Platform complies with all applicable local, state, and national laws, regulations, and industry-specific requirements governing their business operations. This includes, but is not limited to, compliance with tax regulations, consumer protection laws, data protection requirements, and any licensing or registration obligations applicable to their activities. The Platform operates as a technology service provider and does not assume responsibility for ensuring that Users meet their legal or regulatory obligations. Accordingly, the User acknowledges that any reliance on the Platform for business operations does not relieve them of their independent duty to comply with all applicable laws. Any use of the Platform for unlawful, fraudulent, or unauthorized purposes shall constitute a material breach of these Terms and may result in immediate action, including account suspension, termination, and reporting to relevant authorities.

The Platform reserves the right, at its sole discretion, to refuse registration, restrict access, or terminate accounts of any User who fails to meet the eligibility criteria or is suspected of engaging in activities that may harm the integrity, security, or lawful operation of the Platform. This includes situations where there is reasonable belief of identity misrepresentation, unauthorized use, or involvement in prohibited activities. The Platform may request additional information or documentation at any stage to verify a User’s identity or eligibility, and failure to provide such information within a reasonable timeframe may result in denial of access. By continuing to use the Platform, the User affirms ongoing compliance with the eligibility requirements set forth herein and agrees to promptly notify the Platform in the event of any change that may affect their eligibility status.

Account Registration and Responsibilities

In order to access and use the Services provided through the Platform, Users are required to complete a registration process by providing a valid mobile number and verifying the same through a one-time password authentication mechanism. The User agrees that all information provided during registration, including personal and business-related details, shall be accurate, complete, and up to date at all times. Any false, misleading, or incomplete information may result in the suspension or termination of the account at the sole discretion of the Platform. The User further acknowledges that the registration process establishes a unique account associated with their identity and that such account is intended solely for their authorized use in connection with their business operations. The Platform reserves the right to verify registration details at any stage and may request supporting documentation where necessary to ensure authenticity and compliance with applicable requirements.

The User is solely responsible for maintaining the confidentiality and security of their account credentials, including login details and any authentication mechanisms associated with the account. All activities conducted through the account shall be deemed to have been performed by the User, whether or not such activities were authorized by them. The User agrees to implement appropriate safeguards to prevent unauthorized access, including restricting access to trusted personnel and ensuring secure handling of authentication credentials. In the event of any suspected or actual unauthorized use, breach of security, or compromise of account information, the User must immediately notify the Platform to enable appropriate remedial action. The Platform shall not be liable for any loss, damage, or unauthorized activity resulting from the User’s failure to secure their account or from any misuse by third parties.

The User further agrees to use the account in accordance with these Terms and Conditions and to ensure that any individuals granted access to the account, including employees or representatives, comply with all applicable obligations herein. The Platform does not assume responsibility for internal access control within the User’s organization and shall not be liable for disputes or issues arising from shared account usage. The Platform reserves the right to suspend, restrict, or terminate accounts that are found to be involved in misuse, suspicious activity, or violation of these Terms, without prior notice where necessary to protect system integrity or other Users. Continued use of the account constitutes acknowledgment of these responsibilities and acceptance of full accountability for all actions carried out under the registered account.

Subscription Plans and Pricing

Access to the Platform and its Services is provided on a subscription basis, with Users required to select and maintain an active Subscription Plan in order to utilize the available features. Each Subscription Plan is designed to offer a defined set of functionalities, usage limits, and service capabilities tailored to different operational needs. The details of such plans, including pricing, included features, and applicable quotas, are presented to the User at the time of subscription or upgrade. By selecting a Subscription Plan, the User agrees to pay all applicable fees associated with that plan in accordance with the billing terms specified by the Platform. All fees are payable in advance unless otherwise stated and must be settled through the approved payment methods made available within the Platform. The Platform reserves the right to modify, revise, or restructure its Subscription Plans, pricing models, or feature allocations at any time, subject to reasonable notice to Users where such changes materially affect their existing subscriptions.

The User acknowledges that the Subscription Plan governs the scope of access to the Platform and that certain features or functionalities may be restricted, limited, or unavailable depending on the selected plan. Upgrading or downgrading a plan may result in immediate changes to available features, usage limits, and system capabilities. In the case of upgrades, additional charges may apply on a pro-rata or full-cycle basis, while downgrades may lead to reduced access without entitlement to refunds for unused portions of the previous plan, except where required under applicable law. The Platform shall not be held liable for any operational disruption, data limitation, or feature restriction arising from a change in Subscription Plan initiated by the User. It is the responsibility of the User to carefully evaluate plan features and ensure that their selected plan adequately supports their business requirements.

Failure to make timely payments for subscription fees may result in partial or complete suspension of access to the Platform and its Services. The Platform may, at its discretion, provide a grace period for payment; however, it is under no obligation to do so. Continued non-payment may lead to permanent termination of the account and associated data, subject to the data retention policies of the Platform. All payments made are non-refundable unless explicitly stated otherwise or required by applicable law. The User agrees that pricing changes, billing disputes, or service interruptions related to subscription status shall be governed strictly in accordance with these Terms, and the Platform’s decision in such matters shall be final, subject to applicable legal rights.

Usage Limits and Quota System

The Platform operates on a structured quota-based system under which each Subscription Plan includes predefined limits governing the extent of usage permitted to the User. These limits may apply to various aspects of the Services, including but not limited to the number of transactions processed, volume of data stored, number of users or staff accounts created, access to specific features, and usage of integrated services. By subscribing to a particular plan, the User expressly agrees to operate within the allocated limits and acknowledges that such limits are integral to maintaining system performance, fairness among Users, and overall service efficiency. The Platform may display or communicate usage metrics to assist Users in monitoring their consumption; however, the responsibility for tracking and managing usage remains solely with the User.

In the event that the User approaches or exceeds the prescribed limits of their Subscription Plan, the Platform may, at its discretion, implement certain actions to manage continued usage. Such actions may include restricting access to specific features, temporarily suspending certain functionalities, or prompting the User to upgrade to a higher plan that accommodates increased usage requirements. In some cases, the Platform may allow continued usage beyond limits subject to additional charges, which shall be communicated transparently before being applied. The User agrees that any such restrictions or additional charges imposed as a result of exceeding usage limits are valid and enforceable under these Terms. The Platform shall not be liable for any interruption, delay, or operational inconvenience arising from the enforcement of quota restrictions or from the User’s failure to manage their usage effectively.

The Platform reserves the right to monitor usage patterns to detect abnormal, excessive, or potentially harmful activity that may impact system integrity, security, or the experience of other Users. Where such activity is identified, the Platform may take immediate action, including limiting access, requiring plan upgrades, or suspending the account pending further review. These measures are implemented to ensure equitable access and maintain optimal system performance across all Users. The User acknowledges that the quota system is a fundamental aspect of the service model and agrees to comply fully with its terms. Any attempt to bypass or manipulate usage limits, including through technical means or unauthorized practices, shall be considered a serious violation of these Terms and may result in termination of access and further legal action where applicable.

Acceptable Use Policy

The User agrees to use the Platform strictly in accordance with applicable laws, regulations, and the provisions set forth in these Terms and Conditions. The Platform is intended to support legitimate business operations, and any use that deviates from lawful, ethical, or intended purposes is strictly prohibited. The User shall not engage in any activity that may harm, disrupt, or interfere with the normal functioning of the Platform, including but not limited to introducing malicious code, attempting unauthorized access, or exploiting system vulnerabilities. The User further agrees not to use the Platform for fraudulent activities, deceptive practices, or any conduct that infringes upon the rights of third parties, including intellectual property rights, privacy rights, or contractual obligations. Any such misuse shall constitute a material breach of these Terms and may result in immediate suspension or termination of access, without prejudice to any other legal remedies available.

The User shall not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying structure of the Platform, except where expressly permitted by applicable law. Additionally, the User shall not engage in activities that impose an unreasonable or disproportionate load on the Platform’s infrastructure, including automated data extraction, scraping, or excessive API usage beyond the permitted limits. The use of the Platform for storing or transmitting unlawful, harmful, defamatory, obscene, or otherwise objectionable content is strictly prohibited. The Platform reserves the right to review, monitor, and remove any content that is found to violate these Terms or that may pose a risk to the Platform or its Users. Such actions may be taken without prior notice where necessary to maintain system integrity and compliance.

The Platform reserves the right to investigate any suspected violations of this Acceptable Use Policy and to take appropriate action, including account suspension, termination, or reporting to relevant authorities. The User agrees to cooperate with any such investigation and to provide necessary information if requested. The Platform’s determination of what constitutes a violation shall be final, subject to applicable legal rights. Continued use of the Platform signifies the User’s acceptance of this policy and their commitment to adhere to all usage standards established herein. Failure to comply with these requirements may result in severe consequences, including permanent loss of access and potential legal liability.

Data Ownership and User Responsibilities

The User retains full ownership of all data, content, and information that they upload, input, or generate through the use of the Platform, including but not limited to customer records, transaction details, inventory data, financial information, and any documents or media files. The Platform does not claim ownership over such data; however, by using the Services, the User grants the Platform a limited, non-exclusive, royalty-free, and revocable license to host, store, process, transmit, and display such data solely for the purpose of providing, maintaining, and improving the Services. This license is necessary to enable core functionalities such as data synchronization, reporting, analytics, and system operations. The User acknowledges that without such rights, the Platform would be unable to deliver its intended services effectively.

The User is solely responsible for the accuracy, legality, and integrity of all data uploaded or managed through the Platform. This includes ensuring that the data does not violate any applicable laws, regulations, or rights of third parties, including privacy rights, intellectual property rights, and contractual obligations. The User further agrees to obtain all necessary consents and permissions from individuals whose personal or sensitive data is stored or processed through the Platform. The Platform does not verify the authenticity or legality of user-provided data and shall not be held liable for any consequences arising from inaccurate, misleading, or unlawful content. The User also assumes responsibility for maintaining appropriate backups of critical data, as the Platform does not guarantee permanent storage or recovery of data in all circumstances.

In addition to ownership responsibilities, the User must ensure that access to data within their account is properly managed and restricted to authorized personnel only. The Platform provides tools for user and staff management; however, the implementation of internal access controls remains the responsibility of the User. Any misuse of data by individuals granted access under the User’s account shall be deemed the responsibility of the User. The Platform reserves the right to restrict or remove data that is found to violate these Terms or applicable laws and may take necessary action to prevent misuse or harm. The User acknowledges that responsible data handling is a fundamental obligation and agrees to comply with all applicable data protection standards while using the Platform.

Third-Party Integrations

The Platform may provide Users with the ability to integrate and interact with third-party services, applications, and tools, including but not limited to messaging service providers, payment gateways, analytics platforms, cloud storage services, and other external systems that enhance the functionality and usability of the Services. These integrations are offered to facilitate extended capabilities and operational convenience; however, they are not owned, operated, or controlled by the Platform. By choosing to enable or use any third-party integration, the User acknowledges and agrees that such services are governed by the respective terms, conditions, and privacy policies of the third-party providers. The Platform does not assume responsibility for reviewing or enforcing such external terms and encourages Users to independently evaluate the suitability and compliance requirements of any third-party service they choose to use.

The User understands that the use of third-party integrations may involve the exchange, transmission, or processing of data between the Platform and external systems. This may include business data, transaction records, customer information, and other operational data necessary for the functioning of the integrated service. While the Platform takes reasonable measures to ensure secure integration mechanisms, it does not guarantee the security, availability, or reliability of third-party systems. Any interruption, delay, data loss, or security incident arising from the use of third-party services shall be the responsibility of the respective provider, and the Platform shall not be held liable for any direct or indirect damages resulting from such issues. The User assumes full responsibility for enabling integrations and for ensuring that appropriate safeguards are in place when sharing data with external services.

The Platform reserves the right to modify, suspend, or discontinue any third-party integration at its discretion, particularly in cases where such integration poses security risks, becomes non-compliant with applicable laws, or is no longer supported by the third-party provider. The User agrees that such changes may affect certain functionalities and that the Platform shall not be liable for any resulting disruption. Additionally, the Platform may impose specific conditions or limitations on the use of certain integrations to maintain system performance and compliance standards. Continued use of third-party integrations constitutes acceptance of these conditions and acknowledgment of the inherent risks associated with reliance on external service providers.

Intellectual Property Rights

All intellectual property rights associated with the Platform, including but not limited to its software architecture, source code, user interface design, visual elements, workflows, databases, trademarks, logos, and underlying technology, are the exclusive property of the Platform or its licensors and are protected under applicable intellectual property laws of India and international conventions. The User acknowledges that access to the Platform does not grant them any ownership rights or proprietary interest in the Platform or any of its components. Instead, the User is granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform strictly in accordance with these Terms and solely for their internal business operations. Any rights not expressly granted herein are reserved by the Platform.

The User agrees not to copy, reproduce, modify, distribute, publish, transmit, display, perform, or create derivative works based on any part of the Platform without prior written consent. This includes any attempt to replicate the functionality, design, or business logic of the Platform for commercial or competitive purposes. The User shall not remove, obscure, or alter any proprietary notices, trademarks, or branding elements displayed on the Platform. Any unauthorized use of the Platform’s intellectual property shall be considered a violation of these Terms and may result in immediate termination of access, as well as potential legal action under applicable laws. The Platform reserves the right to take all necessary steps to protect its intellectual property rights, including seeking injunctive relief and damages where appropriate.

Any feedback, suggestions, ideas, or recommendations provided by the User regarding the Platform, whether submitted voluntarily or in response to requests, shall be deemed non-confidential and may be used by the Platform without any obligation to compensate or acknowledge the User. Such feedback may be utilized to improve existing features, develop new functionalities, or enhance overall system performance. The User agrees that any improvements or modifications derived from such input shall remain the sole property of the Platform. Continued use of the Platform constitutes acknowledgment and acceptance of these intellectual property provisions, ensuring that all proprietary rights are respected and preserved.

Limitation of Liability

The Platform and all Services provided therein are made available on an “as is” and “as available” basis, without any express or implied warranties, representations, or guarantees of any kind, except to the extent required under applicable law. While the Platform endeavors to maintain accuracy, reliability, and uninterrupted availability of its Services, it does not warrant that the Platform will be free from errors, defects, delays, or interruptions. The User acknowledges that the use of a cloud-based software service inherently involves certain risks, including but not limited to technical failures, network issues, system downtime, and data inconsistencies. The Platform does not guarantee that the Services will meet all of the User’s expectations or business requirements, and the User assumes full responsibility for evaluating the suitability of the Platform for their specific operational needs.

To the fullest extent permitted under applicable law, the Platform shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use of, or inability to use, the Services. This includes, without limitation, any loss of business, loss of revenue, loss of profits, loss of data, or interruption of operations, even if the Platform has been advised of the possibility of such damages. The Platform’s total cumulative liability for any claims arising out of or relating to these Terms or the use of the Services shall in no event exceed the amount actually paid by the User for the Subscription Plan during the period in which the claim arose. The User agrees that this limitation represents a reasonable allocation of risk and forms a fundamental basis of the agreement between the User and the Platform.

The User further acknowledges that the Platform does not control or assume responsibility for external factors that may affect the performance or availability of the Services, including but not limited to internet connectivity, third-party service providers, device compatibility, or user-side configurations. The Platform shall not be held liable for any damages resulting from unauthorized access to the User’s account, loss or corruption of data, or failure to maintain adequate backups. It is the User’s responsibility to implement appropriate safeguards, including data backups and internal controls, to mitigate potential risks associated with the use of the Platform. By continuing to use the Services, the User expressly agrees to these limitations and waivers of liability, recognizing that they are essential to the provision of the Platform on a commercially reasonable basis.

Termination and Suspension

The Platform reserves the right, at its sole discretion, to suspend, restrict, or terminate a User’s access to the Services at any time, with or without prior notice, where it reasonably determines that such action is necessary to protect the integrity, security, or lawful operation of the Platform. Such circumstances may include, but are not limited to, violations of these Terms and Conditions, non-payment of applicable subscription fees, suspected fraudulent or unlawful activity, misuse of system resources, or actions that may adversely impact other Users or third-party service providers. The User acknowledges that the Platform operates in a shared environment and that any activity that threatens system stability or compliance obligations may require immediate intervention. In such cases, the Platform may temporarily suspend access while conducting an investigation and may request additional information or clarification from the User before restoring or permanently revoking access.

The User may also choose to terminate their account at any time by discontinuing use of the Platform and following the account closure procedures made available within the system. However, termination initiated by the User does not relieve them of any outstanding payment obligations or liabilities incurred prior to the effective date of termination. Upon termination, whether initiated by the User or the Platform, access to the account and associated Services may be immediately restricted. The Platform may retain User data for a limited period in accordance with its data retention policies, after which such data may be permanently deleted or anonymized. The User is solely responsible for exporting or backing up any data they wish to retain prior to termination, as the Platform does not guarantee the availability or recovery of data once the account has been closed or access has been revoked.

In cases of suspension, the Platform may provide the User with an opportunity to remedy the issue that led to the suspension, where such remediation is feasible and does not pose a risk to the Platform or other Users. However, the Platform is under no obligation to reinstate access and may proceed with permanent termination if the violation is deemed severe or if the User fails to respond within a reasonable timeframe. The Platform shall not be liable for any loss, damage, or disruption arising from suspension or termination actions taken in accordance with these Terms. This includes, without limitation, loss of business data, interruption of operations, or inability to access stored information. The User agrees that termination and suspension provisions are essential for maintaining a secure and compliant service environment and accepts that such actions may be taken as part of the Platform’s risk management and operational policies.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by, interpreted, and enforced in accordance with the laws of India, without regard to its conflict of law principles. The User agrees that their use of the Platform constitutes a contractual relationship established within the jurisdiction of India and that all rights and obligations arising under these Terms shall be subject to Indian legal frameworks. Any statutory rights available to the User under applicable consumer protection or contractual laws shall remain unaffected to the extent such rights cannot be lawfully excluded. The Platform operates in compliance with applicable Indian laws, including but not limited to laws governing electronic transactions, data protection, and digital services, and Users are expected to ensure that their use of the Platform aligns with all relevant legal and regulatory requirements applicable to their activities.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the use of the Platform, or any services provided therein, the parties agree to first attempt to resolve the matter amicably through good faith negotiations. The User agrees to notify the Platform in writing of any dispute, providing reasonable details of the issue and allowing the Platform a reasonable opportunity to investigate and respond. Both parties shall make genuine efforts to resolve the dispute through mutual discussion before resorting to formal legal proceedings. This approach is intended to facilitate efficient and cost-effective resolution while preserving the business relationship between the parties.

If the dispute cannot be resolved through mutual discussion within a reasonable period, it shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed by the Platform, and the proceedings shall be conducted in English. The seat and venue of arbitration shall be determined by the Platform, within India. The decision of the arbitrator shall be final and binding on both parties. Subject to the arbitration clause, the courts located within India shall have exclusive jurisdiction over matters arising under these Terms. The User expressly agrees to submit to such jurisdiction and waives any objections based on territorial or personal jurisdiction, thereby ensuring a consistent and predictable legal framework for dispute resolution.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by, interpreted, and enforced in accordance with the laws of India, without reference to its conflict of law principles. The User expressly acknowledges that the Platform operates within the jurisdiction of India and that all contractual relationships established through the use of the Platform shall be deemed to have been entered into within such jurisdiction. The rights and obligations of the parties shall therefore be subject to applicable Indian laws, including but not limited to laws governing contracts, electronic transactions, information technology, and consumer protection. Nothing contained in these Terms shall be construed as limiting any statutory rights available to the User under applicable law, to the extent such rights cannot be lawfully waived or excluded. The User agrees that their use of the Platform shall at all times comply with all applicable legal and regulatory requirements, and that any violation of such laws may result in legal consequences independent of the enforcement of these Terms.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the use of the Platform, or any Services provided therein, the parties agree to make reasonable efforts to resolve the matter amicably through mutual discussions and good faith negotiations. The User shall initiate such process by providing written notice to the Platform detailing the nature of the dispute, relevant facts, and the relief sought. Upon receipt of such notice, the Platform shall be afforded a reasonable period to review the matter, conduct any necessary internal investigation, and respond accordingly. Both parties shall cooperate in good faith to reach a mutually acceptable resolution without resorting to formal legal proceedings. This informal dispute resolution process is intended to promote efficient, cost-effective, and non-adversarial settlement of issues, thereby minimizing disruption to the User’s operations and preserving the integrity of the business relationship.

If the dispute remains unresolved after a reasonable period of negotiation, the matter shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed by the Platform, and the proceedings shall be conducted in the English language. The seat and venue of arbitration shall be determined by the Platform within India, and the arbitration proceedings shall be conducted in a manner that ensures fairness, impartiality, and due process. The award rendered by the arbitrator shall be final and binding on both parties and may be enforced in any court of competent jurisdiction. Subject to the arbitration provisions, the courts located within India shall have exclusive jurisdiction over any matters arising under or in connection with these Terms. The User expressly agrees to submit to such jurisdiction and waives any objections based on venue, territorial jurisdiction, or inconvenience, thereby ensuring a clear and consistent framework for legal recourse.

Modifications to Terms

The Platform reserves the right to modify, amend, update, or revise these Terms and Conditions at any time, at its sole discretion, in order to reflect changes in legal requirements, technological advancements, business practices, or the scope of Services offered. Such modifications may include, but are not limited to, changes in subscription structures, usage policies, feature availability, compliance obligations, or security practices. The User acknowledges that the dynamic nature of digital services necessitates periodic updates to ensure continued efficiency, security, and legal compliance of the Platform. While the Platform will make reasonable efforts to notify Users of material changes through available communication channels such as in-app notifications, email, or system alerts, it shall remain the responsibility of the User to review these Terms periodically to stay informed of any updates or revisions.

Any modifications to these Terms shall become effective immediately upon publication on the Platform or upon the date specified in the notification, whichever is earlier, unless otherwise required by applicable law. Continued access to or use of the Platform after such modifications have come into effect shall constitute the User’s express acceptance of the revised Terms. If the User does not agree with any updated provision, they must discontinue use of the Platform and may initiate account termination in accordance with the applicable procedures. The Platform shall not be held liable for any loss, disruption, or inconvenience resulting from the User’s failure to review or understand updated Terms. It is explicitly acknowledged that the User’s ongoing use of the Platform represents a binding agreement to comply with the most current version of these Terms, regardless of whether the User has reviewed them in full.

In addition to general updates, the Platform may introduce new features, functionalities, or services that are subject to additional terms or conditions. Such supplementary terms shall be deemed an integral part of these Terms and shall apply in conjunction with them. In the event of any conflict between the general Terms and any specific provisions applicable to a particular feature or service, the latter shall prevail with respect to that feature. The Platform further reserves the right to discontinue or replace any part of the Services without prior notice where necessary, including for reasons related to legal compliance, system upgrades, or operational efficiency. The User agrees that such changes are a fundamental aspect of a SaaS-based service model and accepts that the Platform may evolve over time. By continuing to use the Platform, the User acknowledges and agrees to be bound by all current and future modifications to these Terms, ensuring an adaptable and legally compliant service environment.

Service Availability and Performance

The Platform endeavors to provide continuous, reliable, and high-quality access to its Services; however, the User acknowledges that as a technology-based system operating over the internet, uninterrupted availability cannot be guaranteed at all times. The Platform may experience occasional downtime, delays, or interruptions due to scheduled maintenance, system upgrades, technical issues, or factors beyond its reasonable control, including but not limited to network failures, power disruptions, or third-party service outages. While reasonable efforts shall be made to minimize such disruptions and to restore Services promptly, the Platform does not warrant that access will be uninterrupted, timely, secure, or error-free. The User agrees that temporary unavailability of the Platform shall not be deemed a breach of these Terms, provided that the Platform takes commercially reasonable steps to address such issues.

The Platform may periodically perform maintenance activities, updates, or enhancements to improve functionality, security, and performance. Such activities may require temporary suspension or limitation of access to certain features or the entire Platform. Wherever feasible, the Platform may provide prior notice of scheduled maintenance; however, in cases of urgent updates or security-related interventions, such notice may not be possible. The User acknowledges that these actions are necessary for the long-term stability and improvement of the Services and agrees to cooperate with any reasonable instructions or limitations communicated during such periods. The Platform shall not be liable for any losses, damages, or operational inconvenience arising from planned or unplanned service interruptions, including but not limited to loss of data access, transaction delays, or temporary inability to perform business operations.

The User further understands that the performance of the Platform may be influenced by factors outside the Platform’s control, such as the User’s internet connectivity, device compatibility, system configurations, and usage environment. The Platform does not guarantee optimal performance under all conditions and shall not be responsible for issues arising from inadequate hardware, software, or network infrastructure on the User’s side. It is the responsibility of the User to ensure that they use compatible devices, maintain secure and stable internet connections, and follow recommended usage practices. By continuing to use the Platform, the User acknowledges and accepts the inherent limitations associated with digital service delivery and agrees that the Platform’s obligations are limited to providing Services on a commercially reasonable basis without guaranteeing absolute availability or performance at all times.

Payment Terms and Billing Obligations

The User agrees to pay all applicable fees associated with the selected Subscription Plan in a timely and complete manner, in accordance with the billing terms specified by the Platform at the time of subscription or renewal. All payments shall be made through the authorized payment methods made available within the Platform, and the User is responsible for ensuring that such payment methods remain valid, active, and sufficiently funded to meet recurring or one-time payment obligations. The Platform may operate on a prepaid, postpaid, or hybrid billing model depending on the nature of the Subscription Plan, and the User acknowledges that access to certain features or continued use of the Services may be contingent upon successful payment processing. Any failure or delay in payment may result in restricted access, suspension of Services, or additional charges, as determined by the Platform in accordance with these Terms. The User further agrees that all fees are exclusive of applicable taxes, duties, or governmental levies, which shall be borne by the User and added to the total payable amount as required by law.

The Platform reserves the right to revise its pricing structure, introduce new charges, or modify existing billing practices at its sole discretion, subject to reasonable notice where such changes materially affect the User’s ongoing subscription. In cases of recurring subscriptions, the User authorizes the Platform to automatically charge the applicable fees at the beginning of each billing cycle using the designated payment method, unless the subscription is canceled prior to the renewal date. The User acknowledges that failure to cancel a subscription before the renewal date shall result in automatic renewal and corresponding charges for the next billing period. Any disputes related to billing must be raised within a reasonable timeframe, and the Platform shall review such disputes in good faith; however, the Platform’s determination regarding billing accuracy shall be final, subject to applicable legal rights. The User agrees not to initiate chargebacks or payment reversals without first attempting to resolve the issue directly with the Platform.

All payments made to the Platform are generally non-refundable, except where explicitly stated otherwise or required under applicable law. In the event of plan upgrades, additional charges may be applied on a pro-rata basis or as a full-cycle adjustment, depending on the billing model. Conversely, downgrades may result in reduced access to features and shall not entitle the User to any refund for unused portions of the previous plan. The Platform may, at its discretion, offer promotional pricing, discounts, or trial periods, which shall be governed by specific terms communicated at the time of the offer. The User acknowledges that such offers are temporary and may be withdrawn or modified without obligation. By continuing to use the Platform, the User agrees to comply with all payment-related obligations and understands that adherence to billing terms is essential for maintaining uninterrupted access to the Services.

Refunds, Cancellations, and Plan Changes

The User acknowledges and agrees that all subscription payments made to access the Platform are generally non-refundable in nature, except where explicitly stated otherwise or required under applicable law. The Platform operates on a prepaid or committed billing model, and once a payment has been successfully processed, it shall be deemed as consideration for access to the Services for the applicable billing period. The User understands that the availability of features, system access, and service capacity is allocated based on the selected Subscription Plan, and such allocation begins immediately upon activation or renewal. Accordingly, the Platform shall not be obligated to provide refunds for partial usage, non-usage, or early termination initiated by the User. Any exceptions to this policy, including promotional guarantees or limited refund windows, shall be clearly communicated at the time of subscription and shall apply only to the extent expressly stated.

The User may choose to cancel their subscription at any time through the available account management interface or by following the prescribed cancellation process. However, cancellation shall take effect at the end of the current billing cycle, and the User shall continue to have access to the Services until such period expires, unless otherwise restricted due to violation of these Terms. The User acknowledges that no prorated refunds shall be issued for the remaining duration of the subscription period upon cancellation. In cases where automatic renewal is enabled, the User is responsible for canceling the subscription prior to the renewal date to avoid being charged for the subsequent billing cycle. Failure to do so shall result in automatic renewal and billing, which shall be binding and non-refundable. The Platform shall not be liable for any oversight or failure by the User to cancel within the required timeframe.

With respect to plan changes, the User may upgrade or downgrade their Subscription Plan subject to the options made available by the Platform. Upgrades may take effect immediately and may involve additional charges calculated on a pro-rata or full-cycle basis, depending on the billing structure. Downgrades, on the other hand, may take effect at the end of the current billing cycle and may result in reduced access to features, lower usage limits, or restricted functionalities. The User agrees that any data, features, or access exceeding the limits of the downgraded plan may be modified, restricted, or removed as part of the transition. The Platform shall not be responsible for any loss of data, functionality, or operational impact resulting from such changes. By continuing to use the Platform, the User accepts that subscription management, including cancellations and plan modifications, is governed strictly by these Terms and forms an essential part of the SaaS service structure.

User Conduct and Operational Compliance

The User agrees to conduct all activities on the Platform in a lawful, responsible, and commercially reasonable manner, ensuring that their use of the Services aligns with applicable laws, regulations, and accepted business practices. The Platform is designed to support legitimate operational workflows, and the User shall not engage in any conduct that may compromise the integrity, reliability, or intended purpose of the Services. This includes refraining from activities that may disrupt system performance, interfere with other Users, or create undue strain on the Platform’s infrastructure. The User acknowledges that their conduct directly impacts not only their own experience but also the broader ecosystem of Users relying on the Platform, and therefore agrees to maintain a standard of conduct that promotes stability, fairness, and compliance. Any misuse of the Platform, whether intentional or negligent, shall be considered a breach of these Terms and may result in corrective action as deemed appropriate by the Platform.

The User is responsible for ensuring that all operations carried out through the Platform, including data entry, transaction management, communication, and reporting, are accurate, lawful, and in accordance with applicable regulatory requirements. This includes compliance with financial reporting standards, taxation obligations, consumer protection laws, and any other legal frameworks relevant to their business activities. The Platform provides tools and functionalities to facilitate such operations; however, it does not assume responsibility for verifying the correctness or legality of the User’s actions. The User further agrees to maintain proper internal controls, including oversight of staff access, validation of entries, and regular review of system-generated outputs. Any errors, omissions, or discrepancies arising from improper use of the Platform shall be the sole responsibility of the User, and the Platform shall not be liable for any resulting consequences, including financial loss or regulatory penalties.

In addition to operational responsibilities, the User shall ensure that their interactions within the Platform, including communication with customers, employees, or third-party stakeholders, adhere to standards of professionalism, legality, and respect. The User shall not use the Platform to transmit or store content that is unlawful, abusive, misleading, defamatory, or otherwise objectionable. The Platform reserves the right to monitor usage patterns and take necessary action in response to conduct that violates these standards, including issuing warnings, restricting access, or terminating accounts. The User acknowledges that maintaining a compliant and respectful environment is essential to the continued functioning of the Platform and agrees to fully cooperate with any measures implemented to uphold these standards. By continuing to use the Platform, the User affirms their commitment to responsible conduct and operational compliance at all times.

Security and Access Control

The Platform implements commercially reasonable technical and organizational measures to safeguard access to its Services and to protect User accounts from unauthorized use. However, the User acknowledges that effective security is a shared responsibility, and the protection of account access credentials, authentication mechanisms, and internal access permissions rests primarily with the User. The User agrees to maintain strict control over login credentials, one-time password access, and any secondary authentication processes, ensuring that such information is not disclosed to unauthorized individuals. Where the Platform provides multi-user or role-based access features, the User is responsible for assigning appropriate permissions to team members and for regularly reviewing and updating such permissions in accordance with operational requirements. Any activity carried out under the User’s account shall be deemed authorized, and the Platform shall not be liable for consequences arising from unauthorized access resulting from the User’s failure to implement adequate safeguards.

The User further agrees to adopt reasonable security practices within their own operational environment, including the use of secure devices, updated software, protected networks, and controlled access to systems used to access the Platform. The Platform shall not be responsible for breaches or compromises that occur due to vulnerabilities in the User’s devices, local systems, or network infrastructure. In the event that the User becomes aware of any suspected unauthorized access, data breach, or security incident affecting their account, they must promptly notify the Platform and take immediate steps to mitigate potential risks, including changing credentials and restricting access where necessary. The Platform may, upon receiving such notification or upon independently detecting suspicious activity, temporarily suspend or restrict access to the account as a precautionary measure while conducting an investigation.

The Platform reserves the right to implement additional security measures at any time, including enhanced authentication protocols, access restrictions, or system monitoring tools, in order to maintain the integrity and safety of its Services. Such measures may be applied universally or selectively based on risk assessment, regulatory requirements, or evolving threat landscapes. The User agrees to comply with all security-related requirements and acknowledges that failure to adhere to such measures may result in restricted access or suspension of Services. While the Platform continuously strives to improve its security framework, the User understands that no system can be entirely immune to risks, and therefore agrees to use the Services with due caution and responsibility. By continuing to use the Platform, the User affirms their commitment to maintaining secure access practices and cooperating with all security protocols established by the Platform.

Data Backup and Recovery

The Platform may implement internal mechanisms for data storage, redundancy, and limited backup to support operational continuity and system integrity; however, the User acknowledges and agrees that such measures are provided on a best-effort basis and do not constitute a guaranteed backup or disaster recovery solution for User data. The primary responsibility for maintaining copies of critical business data, records, and documents stored or processed through the Platform rests solely with the User. The Platform does not warrant that data will be preserved without loss, corruption, or interruption, and Users are strongly advised to implement independent backup procedures that align with the importance and sensitivity of their data. This includes periodic export of essential records and maintaining secure offline or third-party backups to ensure continuity of business operations in the event of system failure or data loss.

The User understands that data stored within the Platform may be subject to risks inherent in digital systems, including but not limited to hardware failures, software errors, cyber incidents, or unforeseen technical disruptions. While the Platform employs reasonable safeguards and industry-standard practices to minimize such risks, it cannot guarantee complete immunity from data-related incidents. In the event of data loss, corruption, or inaccessibility, the Platform may attempt to restore data from available backups where feasible; however, such restoration is not guaranteed to be complete or up to date. The User agrees that the Platform shall not be held liable for any loss of data, business interruption, or financial impact resulting from such incidents, regardless of the cause, including cases where the Platform has attempted recovery efforts in good faith.

In addition, the User acknowledges that certain actions, such as account termination, plan downgrades, or manual deletion of data, may result in permanent loss of information that may not be recoverable. The Platform shall not be responsible for restoring data that has been intentionally deleted or removed as part of account management processes. The User is therefore responsible for exercising caution when performing data modification or deletion actions within the Platform. By continuing to use the Services, the User agrees to assume full responsibility for data backup and recovery practices and accepts that the Platform’s role is limited to facilitating data management rather than guaranteeing long-term preservation. This understanding forms a fundamental part of the risk allocation between the User and the Platform in the context of a cloud-based service environment.

Indemnification

The User agrees to indemnify, defend, and hold harmless the Platform, its owners, affiliates, officers, employees, agents, and service providers from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with the User’s use of the Platform, violation of these Terms and Conditions, or infringement of any rights of a third party. This obligation shall apply whether such claims arise from the User’s direct actions, negligence, omission, or misuse of the Services, including but not limited to the submission of inaccurate data, unauthorized sharing of information, breach of applicable laws, or misuse of integrated third-party services. The User acknowledges that the Platform functions as a technology facilitator and does not control or verify the nature of the User’s activities, and therefore any legal consequences arising from such activities shall remain the sole responsibility of the User.

The indemnification obligation shall also extend to any claims arising from the User’s failure to obtain necessary consents, approvals, or authorizations required for the collection, storage, or processing of data through the Platform. This includes, but is not limited to, personal data of customers, employees, or third parties, as well as any documents or content uploaded by the User. In the event that any such claim is brought against the Platform, the Platform reserves the right to assume control of the defense and settlement of the matter at the User’s expense, and the User agrees to cooperate fully in such defense, including providing necessary information, documentation, and assistance. The User shall not settle any claim that affects the Platform without prior written consent, which shall not be unreasonably withheld. The Platform may also take appropriate action to mitigate potential risks, including restricting access to the User’s account during the pendency of such claims.

This indemnification provision shall survive the termination or expiration of the User’s account and these Terms and Conditions, regardless of the reason for such termination. The User acknowledges that this clause is a fundamental condition of access to the Platform, as it ensures that the Platform is protected from liabilities arising out of activities beyond its control. By agreeing to these Terms, the User accepts full responsibility for their actions and agrees to bear the consequences of any misuse or non-compliance. The Platform shall not be liable for defending or absorbing liabilities that originate from the User’s conduct, and this provision ensures that the risk associated with such conduct is appropriately allocated to the User in accordance with established legal principles.

Force Majeure

The Platform shall not be held liable for any failure, delay, or interruption in the performance of its obligations under these Terms and Conditions where such failure or delay is caused by events or circumstances beyond its reasonable control. Such events, commonly referred to as force majeure events, may include but are not limited to natural disasters, acts of God, earthquakes, floods, fires, pandemics, epidemics, war, terrorism, civil unrest, labor strikes, governmental actions, changes in law or regulation, power outages, internet or telecommunications failures, or disruptions caused by third-party service providers. The User acknowledges that such events may impact the availability, performance, or delivery of the Services and agrees that the Platform shall not be considered in breach of these Terms to the extent that such performance is prevented or delayed by a force majeure event.

In the event of a force majeure occurrence, the Platform shall make reasonable efforts to notify Users of the nature and expected duration of the disruption, where practicable. The Platform shall also take commercially reasonable steps to mitigate the impact of such events and to resume normal operations as soon as reasonably possible. However, the User understands that certain events may be unpredictable and beyond the control of the Platform, and therefore complete or immediate restoration of Services may not always be feasible. During such periods, the Platform may temporarily suspend or limit access to certain features or functionalities without incurring any liability. The User agrees that such temporary disruptions shall not entitle them to any compensation, refund, or claim for damages, provided that the Platform acts in good faith and with reasonable diligence to address the situation.

If a force majeure event continues for an extended period and materially affects the ability of either party to perform their obligations under these Terms, the Platform reserves the right to modify, suspend, or terminate the affected Services or Subscription Plans without prior notice. In such cases, the Platform may, at its discretion, determine appropriate measures to address the impact on Users, which may include service adjustments or extensions, but shall not be obligated to provide any form of compensation unless required by applicable law. The User acknowledges that force majeure provisions are a standard and necessary component of service agreements, particularly in the context of digital platforms that rely on multiple external dependencies. By continuing to use the Platform, the User agrees to accept the risks associated with such uncontrollable events and recognizes that the Platform’s obligations are limited to reasonable efforts under the circumstances.

Audit and Compliance Verification

The Platform reserves the right to conduct audits, reviews, or verification procedures to ensure that the User’s use of the Services is in compliance with these Terms and Conditions, applicable laws, and the limits defined under the selected Subscription Plan. Such audits may be carried out through automated system monitoring, data analysis, or, where necessary, through direct communication with the User for clarification or additional information. The purpose of these audits is to maintain the integrity, security, and fair usage of the Platform, as well as to ensure that no unauthorized, excessive, or unlawful activities are being conducted. The User acknowledges that these measures are essential for maintaining a reliable service environment and agrees to cooperate fully with any reasonable audit requests initiated by the Platform.

During the course of an audit or compliance review, the Platform may examine usage patterns, account activity, data volumes, and access logs to verify adherence to subscription limits and acceptable use standards. In certain cases, the Platform may request supporting documentation, confirmations, or explanations from the User to validate specific activities or data entries. The User agrees to provide accurate and timely responses to such requests and acknowledges that failure to cooperate may result in temporary suspension or restriction of access until the matter is resolved. The Platform shall conduct all audits in a manner that respects User confidentiality and minimizes disruption to business operations; however, the User understands that such processes may require temporary limitations on access or functionality. The Platform shall not be liable for any inconvenience caused by necessary compliance verification activities carried out in good faith.

If any audit reveals non-compliance, misuse, or breach of these Terms, the Platform reserves the right to take appropriate corrective action, including but not limited to issuing warnings, adjusting usage limits, imposing additional charges, suspending services, or terminating the User’s account. In cases involving potential legal violations, the Platform may also report such findings to relevant authorities in accordance with applicable laws. The User acknowledges that compliance with these Terms is a continuous obligation and that audit rights are a fundamental mechanism for enforcing such compliance. This provision shall survive termination of the agreement to the extent necessary to address any unresolved compliance matters. By using the Platform, the User agrees to these audit and verification rights and accepts that they are necessary to ensure transparency, fairness, and lawful operation of the Services.

Notices and Communication

The User agrees that all notices, communications, and disclosures related to the use of the Platform, including those concerning account activity, subscription status, policy updates, legal notices, and service-related information, may be provided by the Platform through electronic means. Such means may include in-application notifications, messages displayed within the user interface, emails sent to the registered contact details, or other digital communication channels associated with the User’s account. The User acknowledges that electronic communication is an integral part of the Platform’s operation and consents to receive all official correspondence in this manner. Any notice or communication sent by the Platform shall be deemed to have been duly delivered and received when transmitted to the User’s registered contact information, regardless of whether the User has actively reviewed or acknowledged such communication.

The User is responsible for ensuring that their registered contact details, including mobile number and email address, remain accurate, current, and accessible at all times. Failure to maintain updated contact information may result in missed communications, for which the Platform shall not be held liable. The User further agrees to regularly check the Platform interface and associated communication channels for important updates or notices. In circumstances where the Platform is required to provide legally mandated disclosures or notices, such communications shall be considered valid and binding when delivered through the electronic methods described herein. The User acknowledges that reliance on electronic communication enhances efficiency and enables timely dissemination of critical information, particularly in a digital service environment where real-time updates may be necessary.

In addition to communications initiated by the Platform, the User may also contact the Platform for support, inquiries, or dispute resolution through the designated communication channels provided within the Platform. The User agrees that all communications submitted to the Platform shall be accurate, lawful, and respectful, and shall not contain any misleading or harmful content. The Platform shall make reasonable efforts to respond to User communications within an appropriate timeframe; however, response times may vary depending on the nature and complexity of the request. The User acknowledges that certain communications may be recorded, stored, or monitored for quality assurance, compliance, or security purposes. By continuing to use the Platform, the User agrees to the use of electronic communication as the primary method of interaction and accepts that such communication shall have full legal effect in relation to these Terms and the Services provided.

Entire Agreement and Severability

These Terms and Conditions, together with any policies, guidelines, or additional terms referenced herein, constitute the complete and entire agreement between the User and the Platform with respect to the subject matter described and shall supersede all prior or contemporaneous agreements, communications, representations, or understandings, whether written or oral. The User acknowledges that they have not relied on any statement, promise, or representation not expressly set forth in these Terms when agreeing to use the Platform. This agreement defines the full scope of rights, obligations, and responsibilities governing the use of the Services and establishes a legally binding framework that applies throughout the duration of the User’s engagement with the Platform. Any additional terms applicable to specific features or services shall be read in conjunction with these Terms and shall form an integral part of the overall agreement.

In the event that any provision of these Terms is determined by a court of competent jurisdiction or a duly appointed arbitrator to be invalid, unlawful, or unenforceable, such provision shall be deemed severed from the remainder of the Terms and shall not affect the validity or enforceability of the remaining provisions. The remaining provisions shall continue in full force and effect as if the invalid or unenforceable portion had never been included. Where possible, any invalid or unenforceable provision shall be interpreted or modified to the minimum extent necessary to render it valid and enforceable while preserving the original intent of the parties. This principle of severability ensures that the overall agreement remains effective and enforceable even if specific clauses are subject to legal challenge or interpretation.

The failure or delay by the Platform in exercising any right, power, or remedy under these Terms shall not be construed as a waiver of such right or any other rights, nor shall any single or partial exercise of any right preclude further exercise of that or any other right. Any waiver of rights must be expressly stated in writing to be considered valid and enforceable. These Terms shall be binding upon and shall inure to the benefit of the parties and their respective successors and permitted assigns, subject to the restrictions on transfer or assignment as outlined elsewhere in these Terms. By continuing to use the Platform, the User acknowledges that these Terms represent the final and complete understanding between the parties and agrees to be bound by all provisions contained herein.
